After many hours spent on the internet searching for optimal system components I've managed to build this baby:
AMD 64 3200+
ZALMAN CNPS7000A-Cu
MSI K8N Neo Platinum
OCZ 1GB(512MBx2) DDR PC-3500 OCZ4331024EBDCPE-K
High Tech RADEON 9800PRO 128MB EXCALIBUR R9800PRO ICEQ
2x80GB WD (from old pc)
TOSHIBA SD-R5272
Tagan 480W

Total: 1130$ (without HDD's)
Do you think it's a good choice, or would you suggest changing some parts (within the same price range)?

Nice. Esp like the choice of PSU Should be a pretty quiet system of you buy the right case fans. WDs will be a little loud though. What about the case?

well, I'm kinda saving on case: I'l use my old one with one quiet 80 mm fan in front (below 4 cd holes). I plan installing one fan in the back.

Yeah the fan in the back is essential, even more than the front.

Nnice Rig, but dont you think two fans is not goiong to be enough for all that? I woould recommend a new case bro. you could always get the Antec 1080 AMG, has room for 2 fans in the front. (5 total fans) and it comes with a Antec 430 Tru Powersupply. Just my 2cents.

edit: The Reasonn I said that hee doesnt have enoough fans is because we all know that the radeon 9800 pro runs very hot.

I wouldn't go for the MSI board. Had bad experiences, but other people had good ones, so just a matter of opinion.
Rest looks very nice.
